Welcome to Adscrew PH Digital Media. By accessing our website and engaging our services (Meta Ads, Google Ads, SEO, and GEO), you agree to comply with and be bound by the following terms and conditions.
1. Scope of Services
Adscrew PH provides digital marketing services as outlined in your specific Service Agreement or Proposal. We act as a strategic partner to manage, optimize, and scale your digital presence. While we utilize high-performance systems and 30+ years of collective expertise, the client acknowledges that digital marketing is an evolving field and results can vary based on market conditions.
2. Client Responsibilities
To ensure the success of our campaigns, the client agrees to:
- Provide timely access to necessary accounts (Meta Business Suite, Google Ads, website backend).
- Ensure all products, services, and content provided to us comply with platform policies and local laws.
- Maintain a functional website or landing page capable of handling the traffic generated.
3. Payment Terms
- Service Fees: All agency fees are due according to the schedule outlined in your invoice.
- Ad Spend: Clients are responsible for paying the advertising platforms (Meta, Google) directly for ad spend. Adscrew PH is not responsible for any pauses in campaigns due to billing issues between the client and the platform.
- Non-Refundability: Due to the nature of digital labor and strategic planning, all fees paid to Adscrew PH are non-refundable unless otherwise stated in a written contract.
4. Intellectual Property
- Agency Property: All proprietary systems, “SEO Mafia” frameworks, and internal optimization protocols remain the exclusive intellectual property of Adscrew PH.
- Client Property: All creative assets (logos, branding) provided by the client remain the property of the client.
- Work Product: Upon full payment, the client is granted a license to use the specific campaign outputs created for them during the term of the agreement.
5. Termination of Service
Either party may terminate the service agreement with a written notice period (standard is 30 days) as specified in your contract. Adscrew PH reserves the right to suspend services if payments are overdue or if the client violates platform policies that put the agency’s accounts at risk.
6. Confidentiality
Both parties agree to keep all business strategies, proprietary data, and campaign performance metrics confidential. We will not disclose your internal business data to third parties, and we expect the same protection for our proprietary marketing systems.
7. Limitation of Liability
Adscrew PH Digital Media shall not be held liable for any loss of revenue, data, or business opportunities resulting from algorithm changes, account bans by third-party platforms (Meta/Google), or technical failures outside of our control.
8. Governing Law
These terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these terms shall be resolved in the courts of Tagum City, Davao Del Norte.
9. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Continued use of our services after such changes constitutes acceptance of the new terms.
